Daria A. Nosova

Professional Experience:

Daria Nosova is a Partner of the Firm in Moscow, advising Russian and foreign clients on structuring complex transactions in the Russian Federation, former Soviet Union and worldwide.

Ms. Nosova's practice focuses on international strategic relations, including mergers, acquisitions, divestitures, joint ventures, foreign investments, technology transfers, corporate and commercial law matters, with emphasis on advising clients in energy and aviation industries.

Ms. Nosova began her practice as in-house counsel for a major Ukrainian airline, advising on international legal matters and strategic relations, including aircraft leases, joint operations transactions, aviation insurance, airline financing and debt restructuring. In particular, Ms. Nosova represented the airline in a $30 million arbitration proceeding at the American Arbitration Association, as well as successfully negotiated the release of a detained aircraft with foreign governmental authorities. Ms. Nosova was a member of the Ukrainian government delegation to the European Civil Aviation Conference on issues of harmonization of airline liability limits, held in London, Great Britain.

Her experience also includes working for one of the leading law in Ukraine, advising major international corporations, including Fortune 500 companies, banks and airlines, on a wide range of cross-border corporate transactions. Among other projects, she has worked on structuring foreign investment transactions, structuring and negotiating joint ventures and setting up a distribution network.

Most recently, Daria worked at Haynes and Boone, a US-based international law firm, where she was instrumental in the foundation of the firm's operations in Moscow, Russia.

Ms. Nosova's body of work includes:
  • Representing clients in numerous international mergers and acquisitions, including, for example, a $400 million acquisition of a major international oilfield service company and a $130 million acquisition of a drilling division of a major Russian oil company.
  • Advising on private and public securities offering, including representing a leading aviation insurance company in a $50 million private offering and advising a major international oilfield services company on public securities offering at the London Stock Exchange.
  • Structuring joint ventures and similar business arrangements in countries of the former Soviet Union, including, for example, advising a US rail equipment manufacturer on establishment of a joint venture in Ukraine; a leading worldwide manufacturer of drilling tools on setting a joint venture in Russia; one of the leading providers of geophysical technologies on forming a joint venture in Kazakhstan.
  • Providing advice on overall business, including acting as an "outside general counsel" in Russia for one of the world's leading manufacturers of ceramic proppant used in hydraulic fracturing of oil and gas wells, including advising on building a factory in Russia, tax and customs litigations.
  • Counseling world leading airlines on expanding their operations into Russia and in Ukraine.

Ms. Nosova received her International Insurance/Reinsurance Qualification from the Marsh Company, Lloyd's of London in 2000.
