Ivo Djambov

Professional Experience: 

Mr. Djambov has broad transactional experience principally focused on merger and acquisition transactions, venture capital and private equity financing, general corporation and partnership law, structuring of routine business matters and complex asset divestitures, offshore company management, project finance, securities compliance, disclosure and reporting, domestic and international employment matters. His experience includes representations of public and privately held companies, including major U.S. government contractors, in the oil & gas exploration and development, engineering, electric generation and nuclear technology industries.

Prior to joining The Stinemetz Law Firm PLLC, Mr. Djambov has been in private practice at a major U.S.-based corporate law firm. Mr. Djambov has also served as in-house corporate counsel with a Houston-based energy construction company and with a European-based public mutual fund. His combined in-house and private practice experience has taught him a great deal about the expectations for outside counsel to provide reliable and cost-efficient service on a timely basis

Mr. Djambov has represented clients in the following:

  • Mergers, acquisitions, asset divestitures and restructuring in the United States and internationally;

  • Issuance and placement of stock and debt securities, stockholder disputes and reorganization;
  • Capital market transactions involving NYSE, LSE, NASDAQ, AMEX and BSE listed companies, including Rule 144A and Regulation S international placements and exchange offers;
  • Roll-up, recapitalization and restructuring deals, offshore company formations and management;
  • Corporate re-branding, acquisition integration plans, turnaround management;
  • Foreign Corrupt Practices Act compliance and reporting, U.S. embargo compliance, foreign trading and banking regimes;
  • Privatization transactions;
  • Vessel chartering and insurance matters.
Mr. Djambov will act as an Of Counsel to the Firm.

Juris Doctor, Tulane University Law School, cum laude; Moot Court Board
